Terms and Conditions

These Terms and Conditions govern your access to and use of SwapHive, including our mobile application, website, related services, features, content, support channels and any other services we make available from time to time. Please read these Terms carefully before using SwapHive.

By creating an account, accessing or using SwapHive, listing an item, sending a message, arranging a meeting or otherwise using our services, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use SwapHive.

1. Who we are

SwapHive is operated by HiveLabs (SAGEFOUNTAIN Unipessoal LDA), a company incorporated in Portugal, with registered office at Maia, company/tax number 518938212. In these Terms, “SwapHive”, “we”, “us” or “our” means the company operating the SwapHive service. You can contact us at: Support, Legal notices & Privacy: info@thehivelabs.eu.

2. What SwapHive does

SwapHive is a technology platform that helps users discover, connect and communicate with other people who may have compatible collectible exchange interests. SwapHive allows users to create accounts, publish collectible-related listings, indicate interests, communicate with other users and arrange potential in-person meetings for the purpose of completing swaps of collectible items. SwapHive only provides a digital facilitation service. SwapHive does not own, sell, buy, exchange, authenticate, inspect, value, certify, store, deliver, insure or guarantee any item listed or exchanged by users.

3. What SwapHive does not do

You acknowledge and agree that SwapHive is not:

Any swap, exchange, meeting, handover or other arrangement is made solely between the users involved and at their own risk.

4. Eligibility and age requirement

You must be at least 16 years old to use SwapHive. By creating an account or using SwapHive, you represent and warrant that: you are at least 16 years old with parental/guardian consent where required; you have legal capacity to enter into these Terms; your use of SwapHive is lawful in the country where you access or use the service; and you will comply with these Terms and all applicable laws. We may suspend or terminate your account if we reasonably believe that you do not meet these eligibility requirements.

5. Your account

You need to create an account to access the platform. You agree to provide accurate, complete and up-to-date information and to keep your account information current. You are responsible for maintaining the confidentiality of your login credentials; all activity that occurs under your account; ensuring that your account is not used by another person; and notifying us promptly if you suspect unauthorized access or misuse. We are not liable for loss or damage arising from your failure to keep your account secure.

6. User listings and item information

You are solely responsible for any listing, photograph, description, message, profile information, comment, rating or other content you submit, upload, publish, send or make available through SwapHive. When you list or describe an item, you represent and warrant that:

SwapHive may carry out random verification of listings, and some may be subject to review. Media content may be scanned for harmful content. SwapHive does not guarantee that any listing is accurate, complete or lawful.

7. User responsibility for swaps

You are solely responsible for deciding whether to contact another user, meet another user, inspect an item, accept an item, reject an item or complete any swap. Before accepting any swap, you should carefully inspect the item and satisfy yourself as to its condition, authenticity, ownership, value and suitability. You are always free to refuse a swap. You should not proceed with any swap if the item does not match the listing; the item appears fake, damaged, unsafe, illegal or suspicious; the other user pressures you; the meeting location feels unsafe; or you are uncomfortable for any reason. Once users decide to complete a swap, that decision is made solely between those users. SwapHive is not responsible for any dispute, regret, misunderstanding, defect, fraud, counterfeit item, stolen item, valuation difference, non-attendance, refusal, loss, damage or harm arising from that swap.

8. Physical meetings and personal safety

Using SwapHive may result in users choosing to meet in person. Physical meetings with people you do not know involve inherent risks, including theft, fraud, intimidation, harassment, assault, personal injury, property damage and other unlawful conduct. You acknowledge and accept these risks. SwapHive does not organise, supervise, monitor, control or guarantee any physical meeting between users. For your safety, we strongly recommend that you:

These safety recommendations are provided for guidance only. They do not guarantee your safety and do not create any responsibility for SwapHive in relation to your decisions, meetings or interactions with other users.

9. Prohibited items

You must not use SwapHive to list, request, offer, promote, exchange, transfer, discuss or facilitate any item that is illegal, unsafe, regulated, infringing or prohibited by these Terms. Prohibited items include, without limitation: stolen goods; counterfeit, fake, pirated or unauthorised replica goods; items that infringe intellectual property rights; firearms, ammunition, explosives, weapons or regulated weapon accessories; drugs, controlled substances, prescription medicines or illegal substances; hazardous or regulated materials; live animals or items involving animal cruelty or illegal wildlife trade; adult sexual content or sexually exploitative material; content or items involving minors in a sexual, exploitative or abusive manner; items promoting hate, violence, terrorism, extremism or criminal activity; personal data, identity documents, financial credentials or access credentials; and items whose exchange is prohibited by applicable law, App Store rules, Google Play rules or our policies. We may remove any listing, restrict functionality, suspend or terminate accounts and report matters to authorities where we believe prohibited items or unlawful activity are involved.

10. Prohibited conduct

You must not: harass, threaten, intimidate, stalk, abuse, exploit or discriminate against another person; use SwapHive for fraud, scams, theft, violence, coercion or unlawful activity; create false, misleading, impersonating or deceptive accounts; misrepresent your identity, age, location, intentions or ownership of items; pressure another user to meet, swap or continue communication; manipulate ratings, reports, matches or platform features; spam users or send unsolicited advertising; use bots, scraping, automated tools or unauthorized data collection; attempt to reverse engineer, disrupt, overload, attack or compromise SwapHive; upload malware or harmful code; bypass security, moderation or access controls; use SwapHive to move users to unsafe external channels for fraudulent or abusive purposes; or violate any applicable law or third-party rights.

11. User-generated content

You retain ownership of the content you submit to SwapHive, subject to the license you grant us below. By submitting content to SwapHive, you grant us a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, display, publish, adapt, moderate, remove, translate, distribute and otherwise use that content as reasonably necessary to operate, provide, improve, promote, secure and enforce SwapHive. This license exists only to the extent necessary for the operation of SwapHive and related legal, safety, security and business purposes. You must not submit content that is false, misleading or deceptive; infringes intellectual property or other third-party rights; contains personal data of another person without lawful authority; is abusive, threatening, hateful, discriminatory, defamatory or obscene; promotes illegal or harmful activity; contains malware or harmful code; or violates these Terms or our policies.

12. Moderation, reporting and enforcement

We may, but are not required to, review, monitor or moderate content, listings, accounts, messages or behaviour on SwapHive. We may take action where we reasonably believe that content, an item, an account or behaviour violates these Terms or applicable law, creates risk, or is suspicious, fraudulent, abusive or harmful. Actions we may take include removing or hiding content; restricting visibility; disabling listings; issuing warnings; limiting features; suspending or terminating accounts; preserving evidence; reporting to relevant authorities; cooperating with lawful requests; and taking any other action we consider reasonably necessary. Where required by applicable law, we may provide affected users with information about moderation decisions and an opportunity to appeal or request review.

13. Reports and complaints

You can report suspicious, abusive, illegal or harmful content or behaviour through the in-app reporting tools or by contacting us at info@thehivelabs.eu. Reports should include enough information for us to understand and assess the issue. We may not always be able to disclose the outcome of a report, especially where doing so could affect another user’s privacy, safety, security, legal rights or an ongoing investigation. If you believe there is an immediate risk to your safety or another person’s safety, you should contact local emergency services or law enforcement directly.

14. No guarantee of matches or outcomes

SwapHive does not guarantee that you will find a suitable match; that another user will respond; that a meeting will take place; that a swap will be completed; that any item will be genuine, lawful, safe, valuable or as described; that any user will behave honestly, safely or lawfully; or that any user will attend a meeting or complete an agreed swap. You use SwapHive at your own discretion and risk.

15. Paid features, listing packages and promotion

SwapHive may offer optional paid digital features, including listing packages, additional listing capacity, promoted listings, boosted visibility, featured placement, premium discovery tools, subscriptions, or other paid functionality made available from time to time. You are not required to purchase paid features to use the basic functionality of SwapHive unless expressly stated otherwise. Where purchases are made through the Apple App Store, Google Play or another payment provider, they may also be subject to that provider’s terms, billing rules and refund rules.

Listing packages and promotion tools are digital features only. They do not represent ownership of any physical item and do not guarantee that another user will contact you, meet you, accept your item or complete any swap, nor any specific number of views, impressions, clicks, messages, matches, offers or swaps. Payment for a listing package or promotion does not mean that SwapHive endorses, verifies, authenticates, certifies, approves or guarantees the user, the item, the listing, the condition, the authenticity, the legality of the item, or any proposed swap. Unless expressly stated otherwise, SwapHive does not process payments between users for items and does not act as an escrow provider, payment intermediary, financial institution, money transmitter, broker or settlement agent for swaps between users. Any payment or other arrangement made directly between users outside SwapHive is entirely at the users’ own risk. Nothing in these Terms limits any mandatory consumer rights that cannot legally be excluded.

16. Intellectual property

SwapHive and its software, design, interfaces, technology, branding, logos, trademarks, graphics, databases, content, documentation and other materials are owned by us or our licensors. These Terms do not transfer any ownership rights to you. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use SwapHive for lawful personal purposes in accordance with these Terms. You must not copy, modify, distribute, sell, lease, reverse engineer, decompile or attempt to extract the source code of SwapHive, except where permitted by law.

17. Privacy

Your use of SwapHive is also governed by our Privacy Policy, which explains how we collect, use, store, share and protect personal data, and how you can exercise your privacy rights. By using SwapHive, you acknowledge that we process personal data as described in the Privacy Policy.

18. Account deletion

You may request deletion of your account through the app or through the account deletion method described in our Privacy Policy or Help Centre. Deleting your account may result in the loss of access to your profile, listings, messages and other account-related information. We may retain certain information where reasonably necessary or legally required, including for security, fraud prevention, legal compliance, dispute handling, enforcement of these Terms, protection of users or third parties, cooperation with authorities, and the establishment, exercise or defense of legal claims.

19. Suspension and termination

You may stop using SwapHive at any time. We may suspend, restrict or terminate your access to SwapHive, with or without prior notice, if we reasonably believe that you have violated these Terms; your account creates risk for users, third parties or SwapHive; you have engaged in fraud, abuse, harassment or unlawful activity; your listings or content are misleading, illegal or harmful; your account has been compromised; we are required to do so by law or by a competent authority; or continued access could expose SwapHive to legal, regulatory, security or reputational risk. After termination, provisions of these Terms that by their nature should survive will continue to apply.

20. Service availability and changes

We may update, modify, suspend, discontinue or restrict SwapHive or any part of it at any time. We do not guarantee that SwapHive will always be available, uninterrupted, error-free, secure or compatible with every device or operating system. We are not liable for any loss arising from service interruptions, changes, suspensions or discontinuation, except where liability cannot be excluded by law.

21. Disclaimers

To the maximum extent permitted by applicable law, SwapHive is provided on an “as is” and “as available” basis. We disclaim all warranties, representations and conditions, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability and security. We do not warrant that SwapHive will meet your expectations; that content or listings will be accurate or reliable; that users are who they claim to be; that items are genuine, lawful, safe or as described; that physical meetings will be safe; that swaps will be completed; that disputes between users will be resolved; or that the service will be uninterrupted or error-free. Nothing in these Terms limits any mandatory consumer rights that cannot legally be excluded.

22. Limitation of liability

To the maximum extent permitted by applicable law, SwapHive and its directors, officers, employees, contractors, partners, affiliates and representatives will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages; loss of profit, revenue, business, opportunity, goodwill or data; harm arising from user conduct or physical meetings; theft, assault, harassment, intimidation, fraud or unlawful conduct by users; counterfeit, stolen, defective, unsafe, misdescribed or unlawful items; disputes between users; failed, cancelled, refused or regretted swaps; content submitted by users; unauthorized account access caused by your failure to protect credentials; or use of third-party services or external links. To the maximum extent permitted by law, our total aggregate liability to you for all claims relating to SwapHive will not exceed the amount you paid directly to SwapHive for using the service in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any rights that cannot be excluded under applicable consumer law.

23. Indemnity

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless SwapHive, its directors, officers, employees, contractors, partners, affiliates and representatives from and against any claims, losses, damages, liabilities, costs and expenses, including reasonable legal fees, arising out of or related to your use or misuse of SwapHive; your violation of these Terms; your listings, messages, profile or other content; your interaction, meeting, swap or dispute with another user; your violation of law or third-party rights; any item you list, offer, request, exchange or receive; or fraud, misrepresentation, harassment, threats, abuse or unlawful conduct by you. If you are a consumer, this clause applies only to the extent permitted by mandatory consumer protection law.

24. Third-party services and links

SwapHive may contain links to third-party websites, services, tools, maps, payment providers, app stores or other external resources. We do not control and are not responsible for third-party services, their content, availability, security, terms or privacy practices. Your use of third-party services is at your own risk and may be subject to separate terms and policies.

25. App stores

If you download SwapHive from the Apple App Store, Google Play or another app distribution platform, you may also be subject to that platform’s terms, rules and policies. Those platforms are not responsible for SwapHive, user content, swaps, meetings, support, claims or disputes between users, except as required by their own terms or applicable law.

26. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms in the app, sending an email, displaying an in-app notice or updating the “Last updated” date. Your continued use of SwapHive after the updated Terms become effective means that you accept the updated Terms. If you do not agree, you must stop using SwapHive and may delete your account.

27. Governing law and disputes

These Terms are governed by the laws of Portugal, unless mandatory consumer protection laws in your country of residence require otherwise. If you are using SwapHive as a consumer, nothing in these Terms limits any mandatory rights you may have under the laws of your country of residence. If you are not acting as a consumer, any dispute arising out of or relating to these Terms or SwapHive will be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal, unless applicable law requires otherwise. Before bringing formal proceedings, we encourage users to contact us first so that we can try to resolve the issue informally.

28. Severability, waiver, assignment & entire agreement

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be interpreted or replaced to best reflect its original purpose. Our failure to enforce a provision is not a waiver of our right to enforce it later; any waiver must be in writing. You may not assign or transfer your rights or obligations under these Terms without our prior written consent; we may assign or transfer ours in connection with a merger, acquisition, restructuring, sale of assets, transfer of business or similar transaction. These Terms, together with the Privacy Policy and any additional policies expressly incorporated by reference, form the entire agreement between you and SwapHive regarding your use of the service.
